01Overview
What is a Section 8 Company?
A Section 8 Company is a non-profit organisation registered under Section 8 of the Companies Act, 2013 for promoting activities such as education, charity, social welfare, science, sports, research, religion, environmental protection and other similar objectives.
It is governed by the Ministry of Corporate Affairs (MCA), and any income or profits earned by the company must be used towards achieving its stated objectives rather than being distributed as dividends to members. A Section 8 Company can provide a formal legal structure for NGOs and other non-profit initiatives while enjoying the framework and privileges applicable to registered companies.
02Benefits
Benefits of Section 8 Company registration
A Section 8 Company offers a formal and credible structure for organisations working towards charitable, social and other non-profit objectives. It provides a separate legal identity, limited liability and continuity while ensuring that the company's income is used to further its stated objectives.
Separate legal entity
A Section 8 Company has an identity separate from its members and can own assets, enter into contracts and conduct activities in its own name.
Limited liability
The liability of members is generally limited to the unpaid amount on the shares held by them, helping protect their personal assets from the company's liabilities.
No minimum capital requirement
A Section 8 Company can be incorporated without a mandatory minimum paid-up capital requirement, making the structure accessible to organisations starting with limited funds.
Tax benefits
Eligible Section 8 Companies may apply for applicable income-tax exemptions, while donors may be able to claim deductions under relevant provisions such as Section 80G, subject to the required registrations and conditions.
Greater credibility
Being registered and regulated under the MCA framework can provide a formal identity and greater confidence among donors, institutions, government bodies and other stakeholders.
Perpetual succession
The organisation can continue to exist despite changes in its members or directors, providing continuity for its long-term objectives.
Foreign contributions
Eligible organisations may receive foreign contributions after obtaining the required FCRA registration or approval and meeting the applicable conditions.
No distribution of profits
Income and profits generated by the company are required to be applied towards its stated objectives. Members cannot receive dividends from the company's profits.
Charitable & social objectives
A Section 8 Company can be established for objectives including education, social welfare, charity, science, research, sports, environmental protection, religion and other permitted non-profit activities.

A Section 8 Company operates under the licence and conditions prescribed under the Companies Act, providing a recognised legal framework for carrying out its non-profit objectives.
