01Overview
What is company annual filing?
Company annual filing is an essential statutory compliance requirement for companies registered in India. Under the Companies Act, 2013, companies are generally required to submit prescribed financial statements and annual return details to the Ministry of Corporate Affairs (MCA) through the Registrar of Companies (ROC).
Timely MCA compliance helps companies maintain accurate corporate records, fulfil their statutory obligations, and reduce the risk of additional fees and penalties for delayed filing.
Filing requirements and due dates depend on the type of company, the financial year, the date of the Annual General Meeting (AGM), and applicable statutory provisions or extensions. Tax Uncle helps businesses organise the required documents, prepare filing information, and navigate the process.
02Forms
Types of company annual filing forms
The MCA annual filing process involves multiple statutory forms, each serving a specific compliance purpose.
AOC-4: financial statements
Files the Balance Sheet, Profit and Loss Account, Directors' Report, Auditor's Report, and other financial documents under Section 137. Due within 30 days of the AGM; for OPCs, within 180 days from the close of the financial year.
MGT-7 / MGT-7A: annual return
MGT-7 is the annual return under Section 92 for private and public companies; MGT-7A is the simplified version for OPCs and small companies. It covers shareholders, directors, registered office, share capital, and debentures, and is due within 60 days of the AGM.
ADT-1: auditor appointment
Intimates the ROC about the appointment of the company's statutory auditor. It must be filed within 15 days of the AGM.
DIR-3 KYC
KYC for every individual holding a Director Identification Number (DIN). Missing it leads to DIN deactivation. See DIR-3 KYC for the current rules.
DPT-3: deposits
Companies that have accepted deposits must file DPT-3 to report outstanding deposits and loans.

04Due Dates
Due dates for company annual filing
Annual filing deadlines depend on the applicable statutory provisions and the company's AGM date. For companies following the standard timeline, the AGM is generally required to be held within six months from the end of the financial year, subject to applicable exceptions and extensions.
The deadlines for AOC-4 and the annual return are generally calculated with reference to the AGM date. Companies should verify the current MCA requirements and any official extensions before filing.
