01Overview
What is a company strike-off?
Company strike-off is a legal process through which a company's name is removed from the register maintained by the Registrar of Companies (ROC). It is one of the available methods for closing a company that is no longer operating or does not intend to continue its business, subject to the applicable legal requirements.
Under Section 248 of the Companies Act, 2013, a company may apply for voluntary strike-off, or the ROC may initiate proceedings on the statutory grounds provided by law. A company seeking voluntary strike-off must satisfy the eligibility conditions, complete the required formalities, and submit the prescribed application and supporting documents.
Before proceeding, the company should review its pending statutory filings, outstanding liabilities, bank accounts, tax obligations, and other records. Additional compliance or closure steps may be needed depending on its circumstances.
02What It Means
What happens to a struck-off company?
The company ceases to operate
Once the strike-off takes effect, the company generally ceases to operate as a legal corporate entity, subject to the provisions governing its dissolution and any applicable restoration proceedings.
Liabilities may continue
Strike-off does not automatically eliminate every liability, obligation, or legal claim associated with the company. The liabilities of directors, officers, members, and others may continue to the extent provided by law.
Restoration is possible
A struck-off company's name may be restored through the appropriate legal process in eligible cases, so it is not correct to assume it can never be restored.
03Eligibility
When can a company apply for strike-off?
A company may consider strike-off when it no longer intends to carry on business and satisfies the statutory conditions. Common circumstances include:
- The company has ceased business operations
- The company has not commenced business within the relevant statutory period
- The company has no continuing business purpose and wishes to close through the prescribed procedure
- The company meets the requirements for voluntary removal of its name from the ROC register
04Reasons
Reasons for company strike-off in India
These are common reasons a company may qualify for closure or face action from the ROC under Section 248.
Inactivity or non-commencement of business
A company that has not commenced business within the prescribed period, or has not operated for the relevant period, may become eligible. The ROC may also initiate proceedings where the statutory conditions are met.
Failure to meet compliance requirements
Not filing annual returns and financial statements can lead to regulatory action, but non-filing does not automatically mean strike-off; the statutory grounds and ROC procedure apply.
Voluntary closure of an inactive company
A company that has stopped operating may apply for voluntary strike-off if it meets the eligibility conditions and addresses outstanding obligations first.
Regulatory action on statutory grounds
The ROC may act where Section 248 grounds apply, following the prescribed notice and response process. Fraud or illegal activity leads to separate proceedings, not automatic strike-off.
