01Overview
What is DIR-3 KYC?
DIR-3 KYC is a compliance process used by the Ministry of Corporate Affairs (MCA) to maintain accurate records of individuals holding a Director Identification Number (DIN). It keeps directors' personal information, including contact details and residential address, updated in MCA records.
DIR-3 KYC Web is the MCA's online facility for completing director KYC and updating specified personal details associated with a DIN.
The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025, effective from 31 March 2026, changed the framework. Periodic KYC is now generally required once every three consecutive financial years instead of annually, and directors must report specified changes to their personal details within the prescribed timeline.
02Who Files
Who needs to file DIR-3 KYC?
The requirement generally applies to individuals holding a DIN under the Companies Act, 2013, according to the applicable rules.
- Existing directors: Individuals holding a DIN must complete KYC when their periodic filing becomes due.
- Directors not currently on a board: Holding a DIN may still trigger the KYC requirement, even if the individual is not currently serving as a director.
- Directors updating personal details: Changes to the registered mobile number, email address, or residential address must be reported within the prescribed period.
- Individuals with inactive DINs: Those whose DINs were deactivated for non-compliance may need to complete KYC to restore their status, subject to applicable rules.
03Due Date
DIR-3 KYC due date under the new rules
Under the revised framework, periodic KYC must generally be submitted on or before 30 June following every third consecutive financial year, as prescribed under the applicable rules.
The MCA has stated that directors who completed their KYC under the earlier framework would generally have their next filing due by 30 June 2028. Individual cases, including overdue KYC or changes in personal details, should be checked separately.
